WHOZFIRE OS Partner Terms & Conditions

1. Overview

These Terms & Conditions ("Agreement") govern your use of the WHOZFIRE OS Partner Platform ("WHOZFIRE OS", "we", or "us"). By creating a partner account, you ("Partner", "you") agree to be bound by this Agreement. WHOZFIRE OS provides music review show infrastructure — branded submission portals, live queue management, live rating overlays, and integrated payments — for partners to operate their own review shows.

2. Partner Account & Approval

Self-serve signup creates a partner account in pending status. WHOZFIRE reviews and approves partner applications before dashboard access is granted. We reserve the right to reject or deactivate any partner application at our discretion. You must provide accurate information about yourself and your platform. You are responsible for keeping your login credentials secure.

3. Revenue, Commission & Payments

WHOZFIRE OS facilitates payments through Stripe Connect. Each partner connects their own Stripe account to accept paid Skip and Super Skip submissions. Charges are processed as direct charges on the partner's connected Stripe account. WHOZFIRE collects a platform commission of 20% of gross revenue (default, configurable per partner) automatically as a Stripe application fee at the time of each transaction. The partner retains the remaining balance, paid out by Stripe directly to the partner's bank account according to Stripe's own payout schedule. WHOZFIRE does not hold partner funds. Stripe processing fees are borne by the partner out of their net share.

4. Stripe Connect Onboarding

To accept paid submissions, you must complete Stripe Express onboarding and maintain an account in good standing with both charges and payouts enabled. Paid Skip and Super Skip submission tiers are automatically disabled if your Stripe account is not fully connected or becomes restricted. You are responsible for your own tax reporting and compliance related to payments processed through your Stripe account.

5. Artist Submissions & Content

Partners are responsible for the submissions they accept and review. Artists submit music through your branded portal and consent to live review. You agree to conduct reviews respectfully and in accordance with applicable law. You are responsible for ensuring you have the right to play, review, and display submitted music on your streams. WHOZFIRE is not liable for the content of artist submissions or partner review conduct.

6. Branding & Intellectual Property

You retain ownership of your platform name, logo, colors, and brand assets that you upload. You grant WHOZFIRE OS a limited license to display your branding within your partner portal, public submission pages, and stream overlays. You represent that you own or have rights to use all branding assets you upload. WHOZFIRE retains all rights to the WHOZFIRE OS platform, software, and underlying technology.

7. Prohibited Use

Partners may not use WHOZFIRE OS for unlawful, fraudulent, abusive, or harmful purposes, including but not limited to: adult content, weapons sales, illegal drugs, unregulated gambling, counterfeit goods, hate speech, or content that infringes third-party rights. We may suspend partners who violate these terms.

8. Data & Privacy

Partner and submission data is stored securely and isolated per partner platform. WHOZFIRE may use aggregate, non-identifiable metrics for platform improvement and reporting. You are responsible for complying with applicable privacy laws regarding artist data collected through your submission portal.

9. Term & Termination

This Agreement begins upon approval of your partner application and continues until terminated. You may terminate your partner account at any time by contacting WHOZFIRE. We may suspend or terminate partners who violate these terms, fail to maintain Stripe in good standing, or become inactive. Upon termination, your public pages are disabled; your submission data remains accessible to WHOZFIRE for record-keeping.

10. Disclaimers & Liability

WHOZFIRE OS is provided "as is." We are not liable for indirect, incidental, or consequential damages, or for lost revenue arising from service interruptions, Stripe issues, or partner conduct. Our aggregate liability is limited to the commission fees collected from your account in the three months preceding a claim.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active partners. Continued use of WHOZFIRE OS after changes take effect constitutes acceptance of the updated terms.

12. Governing Law

This Agreement is governed by the laws of the United States and the state in which WHOZFIRE operates, without regard to conflict of law principles.

13. Acceptance

By checking the agreement box during signup and creating a partner account, you acknowledge that you have read, understood, and agree to these WHOZFIRE OS Partner Terms & Conditions.
